Terms and Conditions
Last updated: 2026-09-13
These terms govern paid use of LidoOS by business customers within the meaning of section 14 of the German Civil Code. The provider is Marco Heller, Brinkweg 11, 45721 Haltern am See, Deutschland; contact: [email protected]. Individually agreed terms take precedence.
1. Scope and business customers
Our offering is exclusively for customers acting in a business or professional capacity and public-law legal entities. Conflicting conditions apply only with our express agreement. Statutory consumer withdrawal rights do not apply to these business contracts.
2. Order and contract formation
The shop invites you to place an order. Choose your plan and billing period, enter your details and review or correct them before completion. The final order with an obligation to pay is your binding offer. We accept through express order confirmation or provisioning. A receipt or payment acknowledgement alone is not acceptance unless it expressly states otherwise. Keep your confirmation and the terms applicable when ordering.
3. Services
The plan description displayed at ordering and expressly agreed extras determine the scope. LidoOS is provided as an internet-based service. Hardware, connectivity, customisation, migration and consulting are excluded unless expressly included. Additional POS, payment and third-party services may require separate agreements, technical prerequisites and activation. Previews do not promise availability.
4. Access and cooperation
Provide accurate business and billing details and keep them current. Protect credentials and share them only with authorised staff. You are responsible for lawful content, required consents and your business obligations. Report security incidents and noticeable faults promptly. This does not remove the provider’s statutory obligations.
5. Prices, tax and payment
The checkout price, currency and billing period apply. Net prices exclude applicable VAT. Recurring fees are due in advance for the billing period; annual billing charges the displayed annual amount. Additional costs are disclosed before ordering. Payment uses an offered provider. Returned-payment costs are recoverable only to the extent actually incurred and attributable to the customer.
6. Term, renewal and cancellation
The contract starts upon acceptance for the agreed period. Unless checkout states otherwise, it renews for the same billing period unless cancelled before that period ends. Cancellation in text form may be sent to [email protected] and must arrive before expiry. An expressly agreed notice period takes precedence. Termination for good cause remains possible. Statutory refund and reduction rights are not excluded.
7. Operation, maintenance and changes
We operate with reasonable care and may perform necessary maintenance and security work. We endeavour to announce planned significant interruptions. Specific uptime or response commitments apply only if expressly agreed. Changes must not unreasonably impair core contracted services. New published terms alone do not introduce price or material contract changes.
8. Data protection
Each party meets its own data protection obligations. Before we process guest or staff personal data on your behalf, a separate Article 28 GDPR processing agreement is required. The website privacy notice does not replace it. You remain responsible for the lawfulness of your data and instructions.
9. Faults and liability
Report defects with a clear description so we can investigate and remedy them. Statutory remedies remain available. Liability is unlimited for intent, gross negligence, injury to life, body or health and mandatory statutory liability. For slight negligence affecting essential contractual duties, liability is limited to foreseeable damage typical of the contract; otherwise liability for slight negligence is excluded. Essential duties enable performance and may ordinarily be relied on by the customer.
10. Suspension and contract end
For serious breaches, concrete security risks or payment default, we may temporarily restrict access after a proportionate assessment. Where reasonable, we give notice and an opportunity to remedy. Use rights end with the contract. Secure necessary content using available exports beforehand; additional handovers require separate agreement. Return and deletion of processing data follow the processing agreement and legal obligations.
11. Final provisions
German law applies, excluding the UN Sales Convention and without prejudice to mandatory applicable rules. For merchants and eligible public-law entities, the provider’s registered seat is the venue where legally permitted. The order specifies the contract language. Statutory rules replace invalid clauses; the remaining contract continues.
